Terms & Conditions
These Terms are binding and take effect once you begin accessing any services from GajiHub.
GajiHub’s services may change from time to time based on GajiHub’s policies, government regulations, user feedback, and technical adjustments to the system. These Terms are not intended to address every question or issue that may arise from using GajiHub’s services. GajiHub reserves the right to modify these Terms & Conditions at any time, which will take effect once the new or revised Terms & Conditions are posted on the GajiHub website. GajiHub will make reasonable efforts to inform you of any changes via email or notifications on the website. As these Terms & Conditions may change periodically, it is your responsibility to ensure you have read, understood, and agreed to the most current version available on the GajiHub website. By registering to use GajiHub’s services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions, and that you are authorized to act on behalf of anyone registered to use our services.
Definitions
- Agreement - refers to these Terms & Conditions;
- Access Fee - refers to the monthly fee (exclusive of taxes) payable by you as listed on the GajiHub website (subject to change from time to time with prior notice to you);
- Confidential Information - includes all information exchanged between the parties to this Agreement, whether in writing, electronically, or orally, including the Services, but does not include information that is or becomes publicly available other than through unauthorized disclosure by you or another party;
- Data - refers to any data you enter into the website or that is entered with your authorization;
- Intellectual Property Rights - includes patents, trademarks, service marks, copyrights, design rights, trade secrets, know-how, and any other intellectual or industrial property rights, whether registered or unregistered;
- Services - refers to the accounting, financial, and operational management services provided (and which may be modified or updated from time to time) through the website or mobile application;
- Website - refers to the website at the domain gajihub.com or any other website operated by GajiHub;
- GajiHub - refers to PT GajiHub Berhati Nyaman, registered in Indonesia;
- Invited User - refers to any person or entity, other than the Customer, who uses the Services from time to time with the Customer’s authorization;
- Customer - refers to the individual, organization, or other entity who registers to use the Services;
- You - refers to the Customer, User, or Invited User.
Use of Software
- GajiHub grants you the right to access and use the GajiHub Services through our Website under the usage role assigned to you, in accordance with the type of service you have selected. This right is non-exclusive, non-transferable, and subject to and dependent upon this Agreement. You acknowledge and agree, subject to any applicable written agreement between the Customer and the Invited User or applicable law, that:
- It is the Customer’s responsibility to determine who is granted access as an Invited User and the roles and permissions they have to access the data you control.
- The Customer is responsible for all use of the Services by Invited Users
- The Customer is responsible for managing each Invited User’s level of access to the organization and relevant Services at all times and may revoke or modify such access at any time and for any reason.
- In the event of a dispute between the Customer and an Invited User regarding access to any organization or Services, the Customer shall decide and determine the access or level of access to the Data or Services available to the Invited User, if any.
Service Availability
- Services: Our Services are guaranteed to have a minimum uptime of 90% per month. If our Services fall below the 90% uptime threshold, our customers are entitled to submit a report and receive compensation, with the maximum compensation amount equal to the annual subscription fee for your GajiHub account.
Product Support: Our Product Support services are available through three channels:
- Chat: Available from 9:00 AM - 6:00 PM, Monday to Friday. Chats received outside of business hours will be responded to via email within 24 hours.
- Phone: Available from 9:00 AM - 6:00 PM, Monday to Friday.
- Email: Available from 9:00 AM - 6:00 PM, Monday to Friday. Emails received outside of business hours will be responded to within 24 hours.
Your Responsibilities
- Payment Obligations: Billing for the Access Fee will be issued monthly, starting one month from the date you subscribe to the GajiHub Service. All invoices are charged for the Access Fee covering the Active Period of service usage. GajiHub will continue issuing invoices to you at the end of each Active Period until this agreement is terminated in accordance with Section 9. The Active Period will automatically begin no later than 30 days after your initial Access Fee payment. All invoices will be sent to you or your designated billing contact via email. You must settle your invoice in full before its due date and no later than 7 days from the invoice issue date. You are responsible for all applicable taxes or duties added to the Access Fee (if any) and must retain proof of payment. If the service is suspended due to non-payment, it will be reactivated once you settle the Access Fee to renew your Active Period.
- General Obligations: You agree to use the Service and Website solely for lawful internal business purposes, in compliance with these Terms, any notices provided by GajiHub, and the guidelines stated on our Website. You may use the Service and Website on behalf of another person or entity, or to provide services to them, only if you have the authority to do so and all parties receiving the Service through you agree to these Terms as they apply to you;
Access Conditions: You must ensure that all usernames and passwords required to access GajiHub are securely stored and kept confidential. If you suspect unauthorized use of your password or any security breach, you must notify GajiHub immediately. GajiHub will reset your password, and you must take all other reasonable steps GajiHub deems necessary to maintain or enhance system and network security. When using GajiHub, you must not:
- Attempt to undermine the security or integrity of GajiHub’s systems or networks, or those of any third-party hosting provider;
- Use or misuse the Service in a way that could impair other users’ ability to use the Service or Website;
- Attempt to gain unauthorized access to any materials you have not been expressly permitted to access, or to any system where the Service is hosted;
- Upload or distribute files via the Website that may damage another person’s devices or software, contain offensive material, or violate any law (including copyright or trade secret laws for which you have no usage rights);
- Modify, copy, duplicate, disassemble, reverse-engineer, or attempt to extract the source code of any software used to deliver GajiHub, except as intended and permitted;
- Usage Limits: GajiHub’s Service usage may be subject to limitations, including but not limited to monthly transaction volumes or the number of processes you are permitted to execute via our application programming interface (API). Any such limits will be specified in the applicable Service plan.
- Communication Conditions: If you use any communication tools available via the Website (e.g., forums or chat rooms), you agree to use them solely for lawful purposes related to the Service. You may not use these tools to post or distribute unrelated material, including unsolicited commercial offers or spam. You may not share harmful files that could damage another person’s devices or software, and you may not upload content that may be offensive or unlawful (including copyrighted or trade-secret material you have no right to use). When posting any form of communication on the Website, you represent that you are authorized to do so. GajiHub is not obligated to monitor communications for legality, accuracy, or relevance, but reserves the right to remove any content at its sole discretion.
- Indemnity: You agree to indemnify and hold GajiHub harmless from any claims, costs, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms or any obligations owed to GajiHub. This includes, without limitation, any costs related to recovering overdue Access Fees.
Confidentiality and Privacy
Confidentiality: Each party agrees to maintain the confidentiality of all Confidential Information of the other party in connection with these Terms. Neither party shall, without the prior written consent of the other, disclose or provide any Confidential Information to any person, or use such information for its own benefit, other than as intended under these Terms. The obligations of each party under this clause shall survive the termination of these Terms. The provisions of this clause shall not apply to information that:
- Has become public knowledge other than through a breach of these Terms;
- Is received from a third party who has lawfully obtained it and is under no obligation to restrict its disclosure;
- Is independently developed without access to the Confidential Information
- Privacy: GajiHub maintains a privacy policy that outlines and sets out the parties’ obligations to respect personal information. You are advised to read our privacy policy at gajihub.com/privacy-policy/ , and you will be deemed to have agreed to that policy when you agree to these Terms.
Intellectual Property
- Ownership and all Intellectual Property Rights in the Services, the Website, and any documentation related to the Services remain the property of GajiHub.
- Ownership and all Intellectual Property Rights in the Data remain your property. However, access to your Data is subject to the settlement of GajiHub Access Fees when invoices become due. You grant GajiHub permission to use, copy, transmit, store, and back up your information and Data to enable you to access and use the GajiHub Services, or for any other purpose related to providing services to you.
- You are strongly advised to maintain copies of all Data you input into the GajiHub Services. GajiHub follows best practices and procedures to prevent data loss, including daily system routines for data backup, but does not guarantee that Data loss will never occur. GajiHub expressly disclaims liability for any loss of Data, regardless of the cause.
Warranties and Acknowledgements
- You warrant that, if you register to use the Services on behalf of another person, you have the authority to agree to these Terms on behalf of that person, and you agree that by registering to use GajiHub Services, you bind that person for, or with the intention of, taking actions on their behalf to any obligations you have agreed to under these Terms, without limiting your own obligations to its provisions.
You acknowledge that:
- You have the authority to use the Services and the Website, and to access the information and Data you enter into the Website, including any information or Data entered into the Website by anyone you have authorized to use the GajiHub Services. You are also authorized to access the information and data that has been processed and provided to you through your use of the Website and our Services (whether that information or Data is owned by you or by another person).
GajiHub has no responsibility to anyone other than you, and there is no intention in this Agreement to confer any benefit on anyone other than you. If you use the Services or access the Website on behalf of or for the benefit of someone other than yourself (whether a legal entity or otherwise), you agree that:
- You are responsible for ensuring that you have the right to do so;
- You are responsible for authorizing any person to whom you provide access to information or Data, and you agree that GajiHub has no obligation to provide anyone access to such information or Data without your authorization, and may refer any request for information to you to be handled;
- You release GajiHub from any claims or losses related to GajiHub’s refusal to provide access to any person to your information or Data in accordance with these Terms; GajiHub providing information or Data to any person based on your authorization.
- The provision of, access to, and use of the GajiHub Services is on an “as is” basis and at your own risk.
- GajiHub does not warrant that the use of the Services will be uninterrupted or error-free. Among other things, the operation and availability of the systems used for accessing the Services, including public telephone services, computer networks, and the internet, can be unpredictable and may from time to time interfere with or prevent access to the Services. GajiHub is not in any way responsible for such interference or prevention of your access or use of the Services.
- GajiHub is not your accountant, and the use of the Services does not constitute the provision of accounting advice. If you have accounting questions, please consult an accountant.
- It is your sole responsibility to determine that our Services meet the needs of your business and can be used for your intended purposes.
- You remain responsible for complying with all applicable accounting, tax, and other laws. It is your responsibility to ensure that the storage and access to your Data through the Services and Website comply with laws applicable to you (including any laws requiring you to retain records).
- GajiHub gives no warranties for its Services. Without limiting the foregoing, GajiHub does not warrant that our Services will meet your requirements or that they will be suitable for your intended purposes. To avoid doubt, all implied conditions or warranties are excluded to the extent permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, and non-infringement.
- You warrant and represent that you are acquiring the right to access and use the Services for business purposes, and to the maximum extent permitted by law, any statutory consumer guarantees or legislation intended to protect non-business consumers in any jurisdiction do not apply to the supply of the Services, the Website, or these Terms.
Limitation of Liability
- To the maximum extent permitted by law, GajiHub excludes all liability and responsibility to you (or any other person) in contract, tort (including negligence), or otherwise, for any loss (including loss of information, Data, profits, and savings) or damage resulting, directly or indirectly, from any use of, or reliance on, the Services or Website.
- If you suffer any loss or damage as a result of GajiHub’s negligence or failure to comply with these Terms, any claim by you against GajiHub arising from GajiHub’s negligence or failure will be limited, in respect of any one incident or series of connected incidents, to the Access Fee you have paid in the previous 12 months.
- If you are not satisfied with the Services, your sole and exclusive remedy is to terminate these Terms in accordance with clause 8.
Contract Termination
- Trial Policy: When you first register to access the Service, you may evaluate the Service under the predetermined trial period terms, without any obligation to continue using it. If you choose to continue using the Service after the trial period ends, billing will commence on the same day you enter your billing information. If you decide to stop using the Service, you may delete your organization.
- GajiHub does not provide refunds for any unused portion of your prepaid Access Fee subscription period.
- These Terms will remain in effect for the period covered by the Access Fee that has been or may be paid under Clause 4.1. At the end of each billing period, these Terms will automatically renew for the same duration, provided you continue to pay the applicable Access Fee when due, unless either party terminates these Terms by giving at least 30 days’ notice to the other party before the end of the relevant billing period.
- Payment Interval: Payment intervals are automatic and binding as described in Clause 4.1. If you choose not to make payment within the specified time for any reason, we will consider that you have stopped using our Service. If you wish to resume your subscription at a later date and regain access to your previous data, you must make payment for the period starting from the month you stopped using the Service until the month you reactivate your subscription.
Breach
- You breach any of these Terms (including, but not limited to, failure to pay any Access Fee) and do not remedy the breach within 14 days after receiving notice of the breach, if such breach is capable of being remedied;
- You breach any of these Terms and such breach is not capable of being remedied (including, but not limited to, any breach of Clause 3.4 or failure to pay any Access Fee that is overdue by more than 30 days);
You or your business becomes insolvent or undergoes any process to wind up the organization. In such cases, GajiHub may:
- Terminate this Agreement and your use of the Service and Website;
- Suspend your access to the Service and Website for an indefinite period;
- Suspend or terminate access to any or all Data.
- Termination of these Terms shall not affect the rights and obligations of the parties accrued up to the date of termination. Upon termination of this Agreement, you will remain liable for all outstanding amounts due and payable, whether before or after termination, and must immediately cease using the Service and Website.
Other General Provisions
- These Terms and Conditions, together with the GajiHub Privacy Policy and the provisions of any notices or instructions given to you under these Terms and Conditions, supersede and replace all prior agreements, representations (whether oral or written), and understandings, and constitute the entire agreement between you and GajiHub with respect to the Service and any other matters addressed in these Terms.
- If either party waives any breach of these Terms, such waiver shall not constitute a waiver of any other breach. Any waiver shall not be effective unless made in writing.
- Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to causes beyond its reasonable control. This clause does not apply to any payment obligations.
- You may not assign or transfer any of your rights to another person without GajiHub’s prior written consent.
- In the event of a dispute between the parties, efforts shall first be made to resolve the matter amicably through mutual consultation. If no resolution is reached through such means, the parties agree to resolve the matter through legal proceedings under the jurisdiction of the Republic of Indonesia.
- Any notice given under these Terms by one party to the other must be in writing via email and shall be deemed given at the time of transmission. Notices to GajiHub must be sent to [email protected] or to such other email address as GajiHub may notify you of. Notices to you will be sent to the email address you provided when creating your account for access to our Service.
- A subscription is a recurring, prepaid payment for the use of the accounting application services provided by gajihub.com. Once a subscription has been purchased, you may cancel it at any time without additional charges other than amounts already paid. Cancellation requires up to 31 days before becoming effective.
